Terms of Service
How our engagements work, what we commit to, and what we ask of you. Written plainly.

These Terms of Service govern the relationship between LinXar Labs (owned and operated by Linus Kexordzu, Accra, Ghana) and clients who engage our services. By booking a discovery call, signing a project agreement, or paying an invoice from LinXar Labs, you agree to these terms.
Our Services
LinXar Labs provides three services:
- AI Workflow Automation — designing and building automated workflows using tools including Make.com, n8n, Airtable, Zapier, and custom API integrations
- AI Chatbots and Assistants — building and deploying AI-powered chatbot systems for WhatsApp, web, and other channels
- Web Platforms and Systems — designing and developing custom web applications and platforms using Next.js, React, TypeScript, and related technologies
All services are delivered by Linus Kexordzu directly. LinXar Labs does not subcontract work to third parties without your prior written agreement.
The Feasibility Sprint
Before any full project engagement, we require a Feasibility Sprint — a 7-day paid assessment phase. This is not optional. Here is how it works:
- Cost: $1,500 USD, flat fee, payable before the sprint begins
- Duration: 7 business days from the agreed start date
- Deliverables: a workflow bottleneck map, an automation feasibility verdict, a cost-to-scale projection, and an ROI estimate with methodology
- Day 3 rule: if we determine by Day 3 that we cannot solve your problem effectively, we will tell you immediately and refund the unused portion of the sprint fee
- Outcome: at the end of the sprint, you receive a complete assessment regardless of whether we proceed to a full engagement
The Feasibility Sprint is a standalone engagement. Completing it does not obligate you to commission a full project, and does not obligate LinXar Labs to accept a full project. Both parties may choose not to proceed after the sprint without penalty.
Project Engagements
Full project engagements are governed by a separate project agreement, which will be provided before any work begins. That agreement will specify:
- The scope of work — exactly what will be built
- The timeline — delivery milestones and dates
- The payment schedule — amounts and due dates
- The definition of done — what constitutes successful completion
- Any specific technical requirements or constraints
These Terms of Service apply in addition to the project agreement. Where there is a conflict between these terms and the project agreement, the project agreement takes precedence.
Payment
Payment terms are as follows:
- Feasibility Sprint: 100% of the sprint fee is due before work begins
- Full projects: payment schedule is agreed in the project agreement. Typically a deposit before work begins and a final payment on delivery
- Invoices are payable within 7 days of the invoice date unless otherwise agreed
- We accept payment via bank transfer, mobile money, or other methods agreed at the time of engagement
- Late payments: if an invoice remains unpaid 14 days after the due date, LinXar Labs reserves the right to pause work on the project until payment is received. We will always notify you before pausing
What We Commit To
When you engage LinXar Labs, we commit to:
- Delivering the work described in the agreed scope
- Communicating clearly and promptly — you will not go more than 2 business days without an update when a project is active
- Telling you honestly if something is not working or if we encounter a problem that affects the timeline or scope
- Not building something we do not believe will work — the Feasibility Sprint exists precisely for this purpose
- Working only with your data for the purposes of delivering your project — we do not use client data for any other purpose
What We Ask of You
A successful automation project requires your active participation. We ask that you:
- Provide accurate information about your business processes and requirements — incomplete or inaccurate information leads to systems that do not work as intended
- Give timely feedback at agreed review points — delays in feedback extend the project timeline
- Provide access to the tools, systems, and credentials needed to build and deploy the automation — we cannot build something we cannot connect to
- Designate one person on your side as the primary contact for the project
- Pay invoices on time — late payments pause the project
Intellectual Property
Once a project is fully paid for, you own what we built for you. Specifically:
- All custom code written for your project belongs to you upon full payment
- All workflow configurations, automation logic, and system architecture designed for your project belong to you upon full payment
- Any third-party tools, platforms, or APIs used in your project are governed by those tools' own terms — you will need your own accounts and licenses for the tools you continue to use
LinXar Labs retains the right to describe the nature of the work done (without disclosing confidential information) in case studies and portfolio materials, unless you request otherwise in writing before the project begins. We do not claim ownership of your business data, your business processes, or any content you provide to us as part of the project.
Confidentiality
We understand that the information you share about your business processes, challenges, and operations is sensitive. We treat everything you share with us as confidential.
- We do not share your business information with third parties
- We do not discuss your project details publicly without your permission

No Guarantee of Specific Outcomes
Automation systems work as designed when the conditions they were designed for are met. We build to the agreed specification and test thoroughly before delivery. However, we cannot guarantee specific business outcomes such as a particular revenue increase, a specific percentage reduction in costs, or a particular number of hours saved.
What we can and do guarantee:
- The system will do what we agreed it would do in the scope of work
- We will fix any bugs or errors in our implementation at no additional cost within 30 days of delivery
- We will not proceed with a full build if the Feasibility Sprint indicates the approach will not work
Outcomes depend on factors outside our control: the quality and consistency of your input data, changes in the third-party tools the automation relies on, changes in your business processes after delivery, and user adoption. We will advise you on these factors but cannot be held responsible for them.
Changes to Scope
Scope changes happen. If you want to add to, remove from, or significantly change the agreed scope of work during a project, we will discuss the impact on timeline and cost before proceeding.
Minor adjustments within the spirit of the original scope are handled at our discretion. Significant additions — features, integrations, or platforms not in the original scope — are quoted and agreed as separate work.
We will always tell you if a request is outside the original scope before doing the work. We will not do additional work and invoice you for it without prior agreement.
Ending an Engagement
Either party may end a project engagement before completion.
If you end the engagement:
- You pay for all work completed to date at a pro-rated rate based on the agreed project fee
- We deliver everything completed to that point — code, documentation, configured workflows — in a handover package
- Any work not started is not charged
If LinXar Labs ends the engagement:
- We will only end an engagement if you have materially breached these terms — for example, by failing to pay invoices after 30 days or by providing false information that made the project unfeasible
- We will give you 7 days' written notice before ending the engagement
- We will refund any payment received for work not yet completed
Monthly retainer engagements may be cancelled by either party with 30 days' written notice.
Limitation of Liability
LinXar Labs' total liability to you for any claim arising from our services is limited to the total amount you paid us for the specific project or sprint that gave rise to the claim.
We are not liable for indirect losses — loss of revenue, loss of data, loss of business opportunity — even if we were aware that such losses might occur.
We are not liable for failures caused by third-party tools, platforms, or APIs that form part of the automation system. Where a third-party tool changes its API or pricing or discontinues a feature, we will advise you on the impact but cannot be held responsible for the disruption.
Disputes
If something goes wrong, we ask that you contact us first at info@linxarlabs.com. Most issues can be resolved with a direct conversation. We commit to responding to any formal dispute within 5 business days. If we cannot resolve a dispute directly, it will be governed by the laws of Ghana and subject to the jurisdiction of the courts of Ghana.
Changes to These Terms
We may update these Terms of Service from time to time. When we do, we will update the ‘Last updated’ date at the top of the page. If the changes significantly affect your rights or obligations, we will email any active clients to notify them. Continued use of LinXar Labs' services after a terms update means you accept the revised terms.
